MCA's Amnesty Scheme 2026: The Cheapest Way to Fix Your Company's Compliance Mess
If your company has been skipping annual filings for years and quietly hoping no one notices, MCA just handed you a golden exit.
The Companies Compliance Facilitation Scheme, 2026 (CCFS 2026) is live. It's a one-time amnesty window that lets defaulting companies clean up their compliance record at a fraction of the usual penalty cost. Here's everything you need to know before the window shuts on July 15, 2026.

What Exactly Is This Scheme?
MCA launched CCFS 2026 via General Circular No. 01/2026 dated February 24, 2026. The scheme is open from April 15, 2026 to July 15, 2026 and it won't come back.
The core idea: file your overdue annual compliances now, pay a heavily reduced penalty, and walk away with immunity from prosecution. No ROC notices. No adjudication proceedings. Clean slate.
The Three Options and What They Cost You
Option 1: Clear Your Pending Annual Filings (Active Companies)
This is for companies that missed filing MGT-7, AOC-4, and related forms. Under normal rules, you'd pay Rs. 100 per day as additional fees and that adds up brutally over multiple years.
Under CCFS 2026, you pay only 10% of those additional fees. That's a 90% waiver. You still pay the normal filing fee in full, but the penalty hit is almost nothing.
Option 2: Go Dormant (Inactive Companies)
If your company isn't doing any business but you don't want to shut it completely, you can apply for dormant status under Section 455 by filing MSC-1. Fee? Half the normal rate. You stay registered, stay protected, and stop accumulating compliance obligations.
Option 3: Strike Off the Company (Close It Down)
If the company has run its course and you want to shut it down cleanly, file STK-2 under this scheme and pay only 25% of the normal strike-off filing fees. That's a 75% saving just for acting now.
Which Forms Are Covered?
Under the Companies Act, 2013: MGT-7, MGT-7A, AOC-4, AOC-4 CFS, AOC-4 XBRL, ADT-1, FC-3, FC-4, and their NBFC variants.
Under the old Companies Act, 1956: Form 20B, 21A, 23AC, 23ACA, 23AC-XBRL, 23ACA-XBRL, Form 66, and Form 23B.
Who Can't Use This Scheme?
Not everyone qualifies. You're excluded if the Registrar has already issued a final notice for striking off your company, if you've already applied for strike-off before this scheme started, if you've already applied for dormant status before this scheme, if your company is dissolved under a merger or amalgamation, or if you're classified as a vanishing company.
If you're in any of these buckets, this window doesn't apply to you.
One Important Catch on Immunity
The immunity isn't automatic. For annual return and financial statement filings under Section 92 and 137: file before you receive a notice from the adjudicating officer and you get full immunity with no penalty. File within 30 days of receiving a notice and you're still protected. File after 30 days of the notice, or after a penalty order has already been passed, and the full penalty applies with no relief under the scheme.
So don't sit on this thinking July 15 is far away. If a notice lands in your inbox, your clock starts ticking immediately.
Bottom Line
If you're a promoter or director of a company sitting on years of missed filings, this scheme is the most cost-effective compliance fix you'll get in a long time. A 90% reduction in late fees plus prosecution immunity is not a deal MCA offers every year.
Three months. Use it.
